  • Any conduct or content of any third party on the Service, including financial data providers.
  • Any financial decisions you make based on information provided by the Service, including projections, simulations, or AI assistant responses.
  • Unauthorized access, use, or alteration of your data or transmissions.
  • Errors, inaccuracies, or omissions in data retrieved from connected financial institutions.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

13. Indemnification

You agree to indemnify, defend, and hold harmless Richometer and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any financial decisions you make based on information provided by the Service.

14. Termination

14.1 Termination by You

You may cancel your account at any time through your account settings. Upon cancellation, your paid subscription (if any) will remain active until the end of the current billing period. After cancellation, you may request deletion of your data as described in our Privacy Policy.

14.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, if we reasonably believe: (a) you have violated these Terms; (b) you are using the Service for fraudulent or unlawful purposes; (c) your continued use poses a security risk to the Service or other users; or (d) maintaining your account would expose us to legal liability.

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnification, and limitations of liability) shall survive.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal dispute, you agree to attempt to resolve the dispute informally by contacting us at legal@richometer.com. We will attempt to resolve the dispute informally within 60 days.

15.2 Binding Arbitration

If a dispute cannot be resolved informally, you and Richometer agree to resolve it through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in the State of Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND RICHOMETER AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial.

16. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will provide at least 30 days' notice before the new terms take effect, either by sending a notice to the email address associated with your account or by posting a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Richometer regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
